Terms and Conditions for Dorman Products, Inc. – New Product Idea Contest

By using this idea/invention submission form / website to submit my idea and/or invention (this “submission”) for consideration in the Dorman Products, Inc. New Product Idea Contest (the “Contest”), you agree to be bound by the following terms, conditions, and Official Rules. Before you make any submission, you must read and accept all the terms, conditions, and rules in this Agreement. This Agreement is effective upon your submission.

You hereby acknowledge:

• I acknowledge that I am at least 18 years and I reside with the United States, Canada or Mexico.
• I acknowledge that there are no other sponsors of this contest other than Dorman Products, Inc. (“Sponsor”).
• I acknowledge this submission is not patented.
• I acknowledge that I am the sole owner of my submission and all related information or, if I am not the sole owner, I am authorized to make this submission to Sponsor on behalf of the owners.
• I acknowledge that the disclosure is being made on a voluntary NON CONFIDENTIAL basis, and that no confidentiality obligations or legal relationships whatsoever are created by this submission.
• I acknowledge that I am free to make this submission and that by doing so the submission is not infringing any prior obligation of confidentiality or the rights of any third party.
• I acknowledge that Sponsor may contact me for additional information and/or samples/prototypes if applicable.
• I acknowledge that Sponsor will NOT return any samples, prototypes or other information submitted by me.
• I acknowledge that Sponsor may already be aware of the same or similar idea and may be independently working on the same or similar product or invention as covered by my submission and that I will not therefore assert any intellectual property rights against Sponsor in this respect.
• I acknowledge that I may be contacted about my submission by Sponsor.
• I acknowledge that Sponsor may in its sole discretion elect to discontinue this idea/invention submission form / website at any time.
• I acknowledge that, although Sponsor is under no obligation to compensate me for my submission, if compensation is to be made, under no circumstances will the payment exceed $5,000 (USD).
• All information I provide to you is complete and accurate to the best of my knowledge.

CONTEST OFFICIAL RULES

ELIGIBILITY: This Contest is open only to legal residents of the USA, Canada, and Mexico, who at the date of entry are of at least 18 years of age. Entries by residents of any other jurisdiction are not eligible for entry. By entering the Contest, you accept and acknowledge that you are competing with other individuals some of whom may be outside of your country of residence. Employees of Sponsor, its subsidiaries and affiliates, as well as the immediate family and household members of such employees, are not eligible. The Contest is subject to all applicable federal, state, provincial, territorial, municipal, and local laws and regulations. THIS CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

TO ENTER: The Submission Period begins 12:00 p.m. U.S. Eastern Time on January 1, 2017 and ends 11:59 p.m. U.S. Eastern Time on December 31, 2017. You are automatically entered when you have successfully submitted your own idea or invention. Ideas or inventions that are not submitted in full via the on-line entry form during the Submission Period will not be eligible to win. By entering the Contest, you affirm to Sponsor that your submission does not violate or infringe upon another person’s patent, copyright, license or other proprietary rights. Entries are prohibited that include any content that is of insufficient quality, defamatory, obscene or otherwise inappropriate, in Sponsor’s sole judgment. Upon your successful submission as described above, you automatically receive one (1) Contest entry. There is no limit of submitted entries per person during the Submission Period. Normal Internet access and phone/usage charges imposed by your online/phone service may apply and shall be the entrants’ sole responsibility, if applicable. The computer clock of Sponsor’s administrator is the official timekeeping device of the Contest.

SELECTION OF WINNER: Submissions will be judged on uniqueness, creativity, and usefulness as determined solely by Sponsor. Each month during the Submission Period, the most unique, creative and useful submission will be chosen as a Monthly Winner among both Service Tech and Counterperson groupings. At the end of the Submission Period, Sponsor will select a Grand Prize Winner from the pool of Monthly Winners. Selection will be conducted by the Sponsor, and such selections shall be final, binding and indisputable in all matters relating to the Contest. Odds of winning depend on the total number of eligible entries received.

PRIZE: 12 Monthly Winners (either for Service Tech grouping or for Counterperson grouping) and (1) Grand Prize Winner. Each Monthly Winner will receive one (1) VISA Gift Card in the amount of $100 USD and the Grand Prize Winner will receive one (1) [VISA Gift Card in the amount of $500 USD]. Prizes do not include any applicable federal, state, provincial or local taxes. Such additional expenses are solely the responsibility of the Winner. In the event the Winner elects not to accept a Prize, the Winner will not be afforded any additional compensation or exchange therefore. Each prize is non-transferable and no substitution is allowed. The winner will be notified by email. The name of the Winner will be available at http://dormanproductsideacontest/, as soon as practicable after the date of selection and for any period afterward, in the sole determination of Sponsor.

LIMITATION OF LIABILITY: BY ENTERING THIS CONTEST, ALL ENTRANTS AGREE TO RELEASE, DISCHARGE, AND HOLD HARMLESS SPONSOR AND ADMINISTRATOR AND THEIR PARTNERS, AFFILIATES, PARENTS, SUBSIDIARIES, AGENTS AND ALL OF THEIR EMPLOYEES, OFFICERS, DIRECTORS, AGENTS AND REPRESENTATIVES FROM ANY AND ALL CLAIMS, LOSSES, AND DAMAGES ARISING OUT OF THEIR PARTICIPATION IN THIS CONTEST OR ANY CONTEST-RELATED ACTIVITIES AND THE ACCEPTANCE AND USE, MISUSE, OR POSSESSION OF ANY PRIZE AWARDED HEREUNDER.

GOVERNING LAW: The Contest and the rights and obligations of the entrants will be governed and controlled by the laws of the Commonwealth of Pennsylvania, USA, and any disputes shall be referred to the exclusive jurisdiction of the Pennsylvania state and US federal courts. NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED.
